1. Acceptance of Terms

By accessing and using the Service, you agree to be bound by these Terms of Service. If you do not agree to abide by these terms, please do not use the Service. EDApro reserves the right to modify these terms at any time. Continued use of the Service constitutes acceptance of modified terms.

2. Service Description

EDApro provides AI-powered software-as-a-service (SaaS) tools for construction and engineering professionals, including but not limited to:

• Automated Bill of Quantities (BOQ) generation from CAD drawings
• CAD analysis and technical report generation
• Project estimation and costing tools
• Integrated workflow and collaboration features

The Service is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied.

3. User Accounts and Eligibility

3.1 Account Registration

To use certain features, you must create an account. You agree to:

• Provide accurate, complete, and current information
• Maintain the confidentiality of your password and account credentials
• Notify us immediately of unauthorized access to your account
• Accept responsibility for all activities under your account

3.2 Eligibility

You represent that you:

• Are at least 18 years old (or the legal age of majority in your jurisdiction)
• Have the authority to enter into this Agreement
• Are not prohibited from using the Service under applicable law
• Have read and understand the Privacy Policy

4. Intellectual Property Rights

4.1 EDApro's IP

All content, software, technology, trademarks, logos, and intellectual property related to the EDApro platform remain the exclusive property of EDApro or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for internal business purposes only.

4.2 Your Upload Files

You retain all intellectual property rights in your CAD drawings, documents, and other files ("Your Content") that you upload to the Service. You grant EDApro a limited license to:

• Process Your Content to provide the Service
• Store Your Content securely
• Display results and generated BOQs within your account

Important: EDApro will NOT use Your Content to train AI models, create derivative works, or share with third parties without your explicit written consent, except as necessary to provide the Service.

4.3 Generated Output

BOQ reports, analysis documents, and other outputs generated by the Service based on Your Content ("Generated Output") are created specifically for your use. You own the outputs generated from your own input.

5. Acceptable Use Policy

You agree not to use the Service for:

• Illegal or unlawful activities or content
• Harassment, threatening, defamatory, or abusive conduct
• Transmitting viruses, malware, or harmful code
• Unauthorized access to systems or accounts
• Creating BOQs for fraudulent purposes
• Falsifying engineering or construction documents
• Any high-volume automated access without permission

6. Subscription and Payment Terms

6.1 Pricing and Billing

EDApro offers subscription plans at varying price points. Pricing is available on the /pricing page. EDApro reserves the right to modify pricing with 30 days' notice.

6.2 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel in writing at least 5 business days before your renewal date.

6.3 Refunds

Except where required by law, subscriptions are non-refundable. Customers entitled to refunds under CCPA or state consumer protection laws may request refunds by contacting support@edapro.ai within 30 days of purchase.

7. Data and Security

7.1 Data Protection

EDApro maintains industry-standard security measures, including encryption, access controls, and monitoring. See our Privacy Policy for detailed security practices.

7.2 Data Deletion

Upon account termination or upon your request, EDApro will delete Your Content within 30 days, except where retention is required by law.

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

8.2 Limitation of Damages

IN NO EVENT SHALL EDAPRO BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

MAXIMUM LIABILITY: EDApro's total liability to you shall not exceed the amount you paid for the Service in the 12 months preceding the claim, or $100, whichever is greater.

9. Termination

9.1 Termination by You

You may terminate your account at any time by submitting a written cancellation request via email (support@edapro.ai).

9.2 Termination by EDApro

EDApro may terminate your account if you violate these Terms of Service, engage in illegal activity, or fail to pay invoices beyond 30 days.

10. Governing Law

Governing Law: These Terms of Service are governed by the laws of the State of California.

Jurisdiction: You consent to the exclusive jurisdiction of the courts located in San Francisco, California.
